An accredited investor, as defined by the Securities and Exchange Commission (SEC) is someone means anyone that has earned $200,000 or more for each of the last two consecutive years with a reasonable chance of earning the same this year ($300,000 if you are filing as a married couple), or $1 million dollars of net worth excluding your primary residence.
